Draft. This Terms of Service is a working draft for Klaren LLC’s public website and SwiftPA software licensing. It is not a substitute for counsel-reviewed contracts. Custom SwiftPA licensing agreements may supersede these terms for enterprise customers.

Terms of Service

Last updated: September 23, 2026 · Klaren LLC

1. Agreement

These Terms of Service (“Terms”) govern access to and use of the klaren.health website and SwiftPA software services operated by Klaren LLC (“Klaren,” “we,” “us”). By accessing the website or using SwiftPA, you agree to these Terms. A signed order form or licensing agreement controls if it conflicts with these Terms.

2. Who we are

Klaren LLC is a Michigan limited liability company. Contact: see the Contact page.

3. Description of Services

SwiftPA is B2B software intended to support prior authorization and utilization management workflows, including intake, criteria-oriented review processes, document handling, and related automation. Features and modules may vary by license, order form, or written agreement.

The klaren.health website provides company, product, licensing, and business information. We may change, improve, suspend, or discontinue website features or software modules from time to time.

4. Not medical, legal, or insurance advice

SwiftPA provides workflow and documentation support only. It does not provide medical advice, legal advice, or insurance advice and is not a substitute for licensed professionals or your own professional judgment. Klaren does not practice medicine or law through SwiftPA.

5. No guarantee of coverage or approval

Insurers and utilization management entities make their own coverage decisions. Klaren does not guarantee approval, payment, faster processing, or any particular outcome. Customers are responsible for reviewing work product and for complying with payer rules, professional obligations, and applicable law.

6. Accounts, eligibility, and acceptable use

7. Healthcare data and customer responsibilities

The marketing site does not provide forms designed to collect protected health information (PHI). A SwiftPA deployment may involve healthcare workflow data only under the applicable written agreement and configured safeguards. Customers are responsible for determining whether their use is permitted, obtaining required notices and consents, and following applicable privacy, security, clinical, and payer requirements.

8. Purchases and licenses

SwiftPA access is granted under a limited, non-exclusive license for the term and permitted users or organizations stated in the applicable order form or licensing agreement. Fees, billing, renewal, support, and permitted use are governed by that agreement. See the Refunds & billing policy for general billing information.

9. Intellectual property

Klaren and its licensors own the website, SwiftPA, branding, and underlying software. You retain ownership of content you lawfully provide, subject to the rights needed to operate the Services. No rights are granted except those expressly stated in these Terms or a written agreement.

10. Third-party services

We may use third-party processors, hosting providers, analytics, and other services. Their terms and privacy practices apply to their services. Klaren is not responsible for third-party websites or services outside its control.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW. We do not warrant uninterrupted or error-free operation.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KLAREN LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICES OR THESE TERMS. Our total liability for any claim related to the Services will not exceed the amounts paid to Klaren for the Services in the twelve (12) months before the claim, or one hundred U.S. dollars (US $100) if you have not paid, except where liability cannot be limited under applicable law.

13. Indemnity

You agree to indemnify and hold harmless Klaren LLC from claims arising out of your misuse of the Services, your content, your violation of these Terms, or your failure to obtain required consents or comply with privacy, clinical, or payer obligations.

14. Suspension and termination

We may suspend or terminate access for violation of these Terms, nonpayment, abuse, security risk, or legal risk. You may stop using the website at any time. Provisions that by nature should survive, including disclaimers, limitations, and indemnity, will survive termination.

15. Changes

We may update these Terms by posting a revised version on this site with an updated date. Continued use after changes constitutes acceptance where permitted by law. Changes to paid enterprise licenses will be handled under the applicable agreement.

16. Governing law

These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law rules, except where mandatory protections apply.
